1. Agreement to Terms

Agentic Studio is provided as a website and a local-first desktop application for running and governing autonomous agents. These Terms form a legally binding agreement between you and Agentic Studio regarding your use of those products and services.

You may use Agentic Studio only in compliance with applicable law and these Terms.

2. Eligibility

You must be at least 16 years old to use Agentic Studio. By using Agentic Studio, you represent that you meet this requirement and have the legal capacity to agree to these Terms.

3. Accounts and Access

The macOS app does not require a hosted account in its standard local setup. If you use a deployment of Agentic Studio that requires authentication, you are responsible for your credentials and access security.

4. Permitted Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use Agentic Studio for your personal use or internal business use.

5. Your Responsibilities

You are responsible for how you configure Agentic Studio, what agents you run, what files, systems, repositories, credentials, or environments you expose to those agents, and what third-party providers or services you connect through adapters or integrations.

You are also responsible for reviewing outputs, approvals, and actions taken through your deployment and for ensuring that your use of Agentic Studio is lawful and appropriate for your environment.

6. Prohibited Conduct

You may not use Agentic Studio in any way that violates applicable law or regulation, infringes the rights of others, interferes with systems you do not own or have permission to use, or deploys agents in abusive, fraudulent, deceptive, or harmful ways.

You may not attempt to disrupt the website or any services we operate, bypass access controls, distribute malware, or use Agentic Studio to harass, impersonate, or unlawfully monitor others.

7. Intellectual Property

Agentic Studio and its associated software, website content, design elements, branding, and documentation are owned by Agentic Studio or its licensors, except for third-party materials and open source components that remain subject to their own licenses.

The Agentic Studio name, logo, and design elements may not be used without permission except as allowed by applicable law or any separate written permission we provide.

8. Your Content and Data

You retain ownership of the prompts, files, code, comments, tasks, media, configuration, and other content you use with Agentic Studio. You represent that you have the rights and permissions needed to use that content with Agentic Studio and any third-party services you connect to it.

Because Agentic Studio is local-first, much of your data may remain on your own machine by default. However, if you configure external providers, model APIs, HTTP integrations, or other third-party runtimes, data you route through those services may be transmitted to them and will be subject to their own terms and policies.

9. Open Source Components

Agentic Studio may include open source software components that are subject to their own license terms. Nothing in these Terms limits your rights under, or grants you rights that supersede, any applicable open source license.

10. Third-Party Services

Agentic Studio may interoperate with third-party runtimes, model providers, tools, APIs, and websites. We are not responsible for third-party services, their availability, their outputs, or their data handling practices. Your use of those services is governed by the terms and policies of the relevant third parties.

This includes any external model provider, coding agent runtime, version control platform, browser automation system, or HTTP integration you connect to Agentic Studio.

11. No Warranty

AGENTIC STUDIO IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND UNINTERRUPTED AVAILABILITY.

We do not warrant that Agentic Studio will be uninterrupted, error-free, secure, or suitable for your particular use case. You use Agentic Studio at your own risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTIC STUDIO AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, BUSINESS, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE AGENTIC STUDIO.

This limitation applies even if we were advised of the possibility of such damages and even if a limited remedy fails of its essential purpose.

13. Suspension or Termination

We may restrict access to the website or any hosted services we operate if we reasonably believe you are violating these Terms, creating legal risk, or harming the service or others. You may stop using Agentic Studio at any time.

For local desktop use, termination of access to the website does not itself remove software or local data from your machine. You remain responsible for stopping local use and deleting local data if you choose to do so.

14. Changes to These Terms

We may revise these Terms from time to time. If we make material changes, we may update the website and revise the effective date above. Continued use of Agentic Studio after revised Terms are posted means you accept the revised Terms.
